We will treat all client materials as confidential in accordance with the terms of any applicable service agreement or confidentiality provisions.

4.3 Deliverables and Work Product

Unless otherwise agreed in writing, upon full payment for services rendered, Anika Cozi Rentals LLC assigns to the client all right, title, and interest in and to any deliverables, code, designs, documentation, and other work product specifically created for the client under a statement of work. Anika Cozi Rentals LLC retains ownership of all pre-existing materials, tools, methodologies, frameworks, and know-how used in the performance of services, and grants the client a perpetual, non-exclusive license to use such pre-existing materials solely in connection with the deliverables.

5. Confidentiality

During our engagement, each party may disclose to the other certain confidential information, including but not limited to trade secrets, business plans, technical specifications, customer data, financial information, and proprietary methodologies. Each party agrees to maintain the confidentiality of such information using at least the same degree of care that it uses to protect its own confidential information of similar nature, but in no event less than reasonable care.

Confidential information does not include information that: is or becomes publicly available through no breach of these terms by the receiving party; was known to the receiving party prior to disclosure; is independently developed by the receiving party without use of confidential information; or is rightfully obtained by the receiving party from a third party without a duty of confidentiality.

These confidentiality obligations shall survive termination or expiration of these Terms of Service and any underlying service agreements for a period of three years, or indefinitely with respect to trade secrets.

6. Payment Terms

Payment terms for our services shall be specified in the applicable statement of work, service agreement, or invoice. Unless otherwise agreed in writing, all fees are quoted in United States Dollars and are exclusive of applicable taxes, which shall be the responsibility of the client. Payments are due within thirty days of the invoice date unless otherwise specified.

Late payments may be subject to interest charges at the rate of 1.5% per month, or the maximum rate permitted by applicable law, whichever is lower. Anika Cozi Rentals LLC reserves the right to suspend or terminate services in the event of non-payment after providing reasonable notice to the client.

7. Limitation of Liability

To the fullest extent permitted by applicable law, Anika Cozi Rentals LLC, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the website or our services.

In no event shall the aggregate liability of Anika Cozi Rentals LLC for any claims arising out of or relating to these Terms of Service or the provision of services exceed the total amount of fees paid by you to Anika Cozi Rentals LLC during the twelve-month period immediately preceding the event giving rise to the claim. These Terms of Service shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of or related to these Terms of Service or the website shall be instituted exclusively in the state or federal courts located in Utah County, Utah.

Before initiating any formal legal proceedings, the parties agree to first attempt to resolve any dispute informally by providing written notice to the other party and engaging in good faith negotiations for at least thirty days. If the dispute cannot be resolved through negotiation, the parties may proceed to mediation or binding arbitration as mutually agreed, or to litigation in the courts specified above.
